	Viroxware Affiliate Program Rules and Policies

	By Signing up for the Viroxware Affiliate Program, you agree with the Rules and Policies. The Program and The Rules and Policies Viroxware is willing to authorize any individual or legal entity (the Affiliate) to participate in the Viroxware Affiliate Program (Program) granted that the Affiliate accepts the Viroxware Affiliate Program Rules and Policies (Rules and Policies) mentioned herein. The Viroxware Affiliate Program is a Program run directly or in conjunction with an Affiliate Network aimed at driving traffic to Viroxware online stores with the Affiliate receiving commissions based on sales results. Together with the signed Information Page, these Rules and Policies form your Affiliate Participation Program Agreement. By participating in the Program, the Affiliate agrees to comply with the following Rules, Definitions, Terms and Policies (the Rules and Policies), and the individual Information Page that belongs to this Agreement. 1. Relationship: That the Affiliate’s relationship with Viroxware is non-exclusive and is a legal agreement between you (“Affiliate”) and Viroxware and its suppliers, licensors and or the parties Viroxware represents (collectively, "Viroxware"). 1.1 By uploading, copying or otherwise using the Viroxware Materials, the Affiliate agrees to be bound by the terms of these Rules. 1.2 If the Affiliate does not agree, the Affiliate may not under any circumstances, use the Viroxware materials. 2. Participation and Termination: That Affiliate’s participation in the Program is at Viroxware’s sole discretion. 2.1 Viroxware may terminate the Affiliate’s participation in the Program with fourteen (14) days’ notice, or immediately in the case of a breach of these Viroxware Affiliate Program Rules and Policies. 2.2 Viroxware has the sole right to determine whether or not a breach of rules occurred. 2.3 The Affiliate agrees that if the Affiliate is terminated from the Viroxware Affiliate Program for any reason, Viroxware bears no responsibility for any loss or damages caused by the Affiliate’s termination from the Program 2.4 The Affiliate is free to terminate participation in Viroxware’s Affiliate Program at any time by informing Viroxware as set out in Paragraph 13. 3.1 Multi Program Participation: Viroxware might offer more than one Affiliate Program and the affiliate is allowed to participate in more than one Viroxware Affiliate Program.. 4. Obligations and Pay-Outs: The Affiliate shall earn Payouts for Transactions solely in accordance with parameters set forth on the Viroxware Program description within the attached Information Page and these Rules and Policies. 4.1 A payment period is defined as 1 (one) calendar month. 4.2 The calculation of Payouts for a period is pursuant to the tiers and rates as set out on the Information Page. Viroxware shall have the sole authority to set the Payout rate and applicable terms and conditions thereto. 4.3 Basis of the calculation of revenue will be the statistical information as provided by the tracking and monitoring system as stated on the Information Page; the Affiliate has 24 hour access hereto in order to monitor traffic, sales and revenue. Based on these figures, Viroxware generates after each period an invoice. The figures in this dedicated statistical information system are binding. 4.4 All payments shall be made in Euro’s. 4.5 Payments may be received directly from one of the partners represented by Viroxware, as specified on the Information Page. 4.6 Commissions are calculated according 4.1 and 4.2; Viroxware endeavours to make Pay-outs maximum 21 days after End of Period. 4.7 Minimum payout per period is set out in the Information Page, if the Pay-Out is less than the set amount, the commission will be brought forward to the next period and accumulated with the commission generated over that subsequent period. 4.7.1 Accumulation and bringing forward of commission balances under the amount set out in the Information Page, can be done 3 (three) subsequent periods 4.7.2 If the minimum Pay-Out remains insufficient after accumulating three subsequent months, the total commission over that period will be forfeited and the Affiliate’s outstanding commission balance will be reset to 0 (zero). 4.8 The Affiliate will receive access to Viroxware’s Statistical Tool (access-data such as username, URL, etc., see attached Information Page), where the Affiliate can find all relevant data regarding traffic, sales, turnover, customer details etc. 4.9 Each party is solely and separately responsible for its own taxes, user fees, or similar levies. 4.10 Any dispute between the Affiliate and Viroxware regarding Payouts shall be pursuant to: 4.10.1 In the event that Viroxware is unable to calculate Payouts or is delayed in its calculation of Payouts due to any computer error or technical difficulty (including, without limitation, viruses, bugs or any other operational defects), Viroxware’s sole obligation will be to pay the Affiliate the amount the Affiliate received from Viroxware in the previous month. 4.10.2 In the event that the Affiliate did not receive a Payout from Viroxware in the previous month, the maximum Payout shall be one hundred euro’s (100.00 €). 4.11 Other than the Payouts, the Affiliate shall have no claims or entitlements to any additional compensation, commissions or business derived by or through its participation in the Viroxware Program. 4.12 After termination of the participation, Viroxware will apply the reconciliation period. The Affiliate’s commission over the current outstanding period, will be withheld for a term according to the following formula: (end-of-period) + (100 days)=reconciliation period in days. During this period, the Affiliate’s account will be reconciled and any bad debts, uncollectable, charge backs etc. will be deducted from the outstanding commission balance. 5. Legal Compliance: Affiliate shall comply with all applicable laws and regulations, whether foreign, federal, state or local, applicable to the activities performed hereunder. 6. Limitations relating to the Usage of Trademark(s) and Internet Sites: The affiliate acknowledges: 6.1 Not to own a domain that includes a Viroxware trademark or registered trademark. Domains containing the registered trademark "Viroxware" are strictly prohibited. 6.2 Not to use sites under construction, sites that show or cause any type of error, doorway pages, sites or pages with automatic redirect. 6.3 Not to operate or utilize a website, or email a link to a website, which contains or promotes the following types of content: 6.3.1 Libellous, defamatory, obscene, abusive, violent, bigoted, hate-related, illegal, cracking, hacking, anti-brand messaging or that offer illegal goods or services. 6.3.2 Content that is unacceptable in the view of todays’ contemporary society, such to be determined at Viroxware’s sole discretion. 6.4 To comply with Viroxware’s trademark, copyrighting and other intellectual property criteria and requirements, and the Affiliate may not: 6.4.1 Sublicense the Viroxware Materials to any third party without first obtaining Viroxware’s prior, written authorization; 6.4.2 Use the Viroxware Materials for any other purpose other than as specified in these Standard Terms without first obtaining Viroxware’s prior, written permission; 6.4.3 Modify, translate, reverse engineer, decompile, disassemble or create derivative works based upon the Viroxware Materials; and 6.4.4 Remove or alter the Viroxware Materials, including any copyright or trademark notices contained in the Viroxware Materials. 7. Ownership and usage of Viroxware’s Trademarks, Interests and Titles: 7.1 to acknowledge that Viroxware owns and will retain all rights, titles, and interests in all Viroxware content, including, without limitation, any proprietary rights which may be developed in the future. Use of Viroxware content applies exclusively to the benefit of Viroxware, and the Affiliate obtains no rights to Viroxware content through use thereof. 7.2 Not to use copycat sites, or use any content or images from any Viroxware websites, except for content and images which have been expressly allowed for use by Affiliate partners. 7.3 The Affiliate may use the links and/or banner ads Viroxware provides to Affiliate Partners only in the form in which they are provided. Subject to the limitations contained herein, the Affiliate may place such links and/or banner ads on own website in whatever location the Affiliate prefers. 7.4 Affiliates must not hardcode creative/logos but should use those supplied in the affiliate network interface. 8. Promotion, Marketing and Advertising the Viroxware Brand & Products 8.1 Not to promote Viroxware / Viroxware by NetQin or NetQin products using spam or unsolicited commercial email. 8.2 The Affiliate represents and warrants the following provisions: 8.2.1 Each addressee on an e-mail list has opted-in to receive e-mails from the Affiliate; 8. 2.2 upon request by Viroxware, the Affiliate will promptly provide verified opt-in statuses for all recipients of all current mailing lists used to promote Viroxware products; 8.2.3 Each e-mail sent by the Affiliate will contain clear instructions for addressees to unsubscribe from receiving future e-mails. The Affiliate must not use the Viroxware brand name or typos in the “From” address line. All Affiliate e-mail correspondence must contain the Affiliate's e-mail addresses. 8.3 Not to commit fraud or submit fake transactions. 8.4 Not to use adware and/or malware to promote Viroxware products. The use of parasites (programs that steal traffic from legitimate Affiliates) is strictly prohibited. 8.5 Not to promote Viroxware through means of a customer downloaded application that interrupts the sales journey, without securing an opt-in from Viroxware or its representative. 8.5.1 Examples of this are rebate catching tools which alert the user when they land on the merchant website that discounts or cash back are available. If the Affiliate is in any doubt about whether the application is acceptable or not, they should contact Viroxware or its representative. 8.6 Not to bid for search engine traffic using the terms “Viroxware”, “Viroxware by NetQin” or similar Viroxware marks, or any misspellings of either "Viroxware" or "Viroxware by NetQin". 8.6.1 The Affiliate also agrees not to include the above mentioned keywords in the display URL for purchased keywords. Misspellings include those with missing characters, extra characters, wrong character sequences, and where the wrong key is pressed. It is prohibited to bid on competitors' brand terms. 8.6.2 Affiliates must endeavour to remain below Viroxware’s own paid search ad at all times. 8.6.3 Affiliates are able to bid for search engine traffic only within the list of countries that are specified for a specific affiliate program (see the list below). 8.7 Not to use a web site that is confusingly similar to the official Viroxware, Viroxware by NetQin or NetQin website, or which may mislead third parties into thinking the Affiliate is Viroxware or an official partner of Viroxware. This includes copying and framing any of the Viroxware web pages. The Affiliate further agrees not to promote himself in a way that may mislead third parties into thinking the Affiliate is Viroxware Lab or an official partner of Viroxware. 8.8 Typo-Squatting: Not to engage in typo-squatting, or own a typo domain. Domain names must not include or use misspellings of either "viroxware", "Viroxware by NetQin" or “NetQin”. Misspellings of domains include those with missing characters, extra characters, wrong character sequences, and where the wrong key is pressed, e.g. www.viroxware.co.at, www.viroxware.com.sg etc. 8.9 To acknowledge that Viroxware owns and has exclusive rights to any and all customer information which comes into the Affiliate’s possession as a result of, or relating to, the Viroxware Affiliate Program. 9. Amendments to the Rules and Policies: Viroxware may amend or modify the Rules and Policies at any time by publishing a new version on the Viroxware website. 9.1 Continued participation in the Program following the effective date of a new version will constitute the Affiliate’s acceptance of the new version, and all amendments to the prior forms of the Rules and Policies. 9.2 If any amendment made by Viroxware is unacceptable, the Affiliate will acknowledge this by exiting the Viroxware Affiliate Program. 10. No Assignment: these Rules and Policies are personal to the Affiliate, and may not be assigned without Viroxware’s express written consent. 10.1 In the event that the Affiliate are an entity that merges with another entity or are acquired by another entity during the Term, the Affiliate shall provide written notice of such merger or acquisition not later than the date on which any public announcement is made. If Viroxware does not consent to assignment of these Standard Terms to the new or acquiring entity in such merger or acquisition, Viroxware may terminate this Agreement on thirty (30) days' written notice. Both parties shall perform under this Agreement until such termination is effective. 11. Press releases and Public Statements: The Affiliate will not issue any press releases or make public statements relating to Viroxware, these Standard Terms or the relationship between the parties without Viroxware’s review of and written consent to such press release or public statement. 12. Force Majeure: No party will be deemed in default hereunder for any cessation, interruption or delay in the performance of its obligations due to causes beyond its reasonable control, including but not limited to: 12.1 earthquake, flood, or other natural disaster, act of God, labour controversy, civil disturbance, war (whether or not officially declared) or the inability to obtain sufficient supplies, transportation, or other essential commodity or service required in the conduct of its business, or any change in or the adoption of any law, regulation, judgment or decree (each a “Force Majeure Event”). 12.2 Each party will have the right to terminate this Agreement immediately upon written notice if any Force Majeure Event of another party continues for more than ten (10) days. 13. Notices and Contact Information: All notices and demands to Viroxware under this Agreement will be in writing and will be delivered by personal service, express courier, or mail to the following addresses: Viroxware/ Oneteam Office Centres, Level 2, Suite 3, 24 Thomas Street, Chatswood NSW 2068, Australia 13.1 Viroxware may change its address set forth above by providing written notice to the Affiliate. 14. Applicable Law: The Agreement between the Affiliate and Viroxware will be governed by and construed pursuant to the laws of the Republic of Ireland and the parties agree to submit to the jurisdiction of the courts in Dublin in connection with any dispute relating to this Agreement.
