Software License Agreement |

Viroxware by NetQin Tech. Co., Ltd. (hereinafter referred to as the Owner) hereby grants to the licensee (hereinafter referred to as the User) a license to use this software solely in accordance with the terms and on the conditions set forth in this software license agreement (hereinafter referred to as the Agreement). This agreement is entered into by and between the Owner and the User, and has legal and binding force for both parties.
License: the Owner grants a license to the User to install and evaluate this software, which is the exclusive property of the Owner ((hereinafter referred to as the Software). Relative user documentation is attached (hereinafter referred to as the User Documentation) with the Software (collectively referred to as the Product).
Terms and Conditions
NOW, THEREFORE, based on the principle of mutual benefits, both parties hereto agree as follows:
- Once this Agreement is effective, the User is authorized to use a certain number of copies of this Software until the expiry date prescribed in the Licensor Evaluation Plan (hereinafter referred to as the Plan), or any expiry date of the license key (collectively referred to the Expiry Date). The license is for internal use only and for the purpose of evaluation of permanent software license. The User shall, without prior written assent from the Owner, not use the copy or copies of this Software for any business activities other than evaluation. If the Plan requires a license key to run software, the User will also be authorized to obtain a multi-replica license key.
- The User shall be entitled to duplicate and use one or more copies of the authorized software before the Expiry Date. Upon the expiration, the User shall enter into a permanent license agreement with the Owner in order to continue to use this Product; otherwise, the User shall not use the Product and return the Product to the Owner, or declare to the Owner that, all copies of the Product (including all copies of the Software and the Documentation in any memory or storage medium) are completed deleted or destroyed. The Product may contain one routine, which disables the Product after the Expiry Date. Once the User obtains a permanent license after payment of certain license fee, this route will be deleted or disabled.
- The user shall agree to follow the terms and conditions prescribed in this agreement, besides the terms and conditions stipulated in End User License and Maintenance Agreement (hereinafter referred to as the EULA) attached to the Product. This Agreement is a complementary document to the EULA. In case of any conflict arising thereof between EULA and this Agreement, the latter shall take precedence.
- Any installation and evaluation of the Product, or any limited license based on this Agreement, is free of charge.
- This Agreement, unless otherwise stipulated in this Agreement or EULA, offers the User an opportunity to evaluate the Product free of charge. Unless specified in this Agreement, the Owner shall not make any express or implied guaranty or statement. The Owner will not make any guaranty for the performance of its Product in any way, and all Products will be provided "as is" without any maintenance or technical support. The Owner will not be responsible for any implied guaranty or statement, including but not limited to any guaranty regarding marketability, any special purpose or non-infringement of intellectual property right. For the purpose of anti-virus product, the Owner cannot and will not guarantee all kinds of viruses can be effectively killed or defended. The Owner shall, in no cases, be responsible for any loss, damage, cost, injury or other expense, including the loss of time, money, reputation or data, or any indirect, particular, punishment or consequential damages, arising thereof due to installation or use of this Product by the User or any other party.
